These Terms and Conditions (“Terms”) govern your relationship with LITT’s mobile application operated by Indy Technology, Ltd. (“Indy”). Please read these Terms and Conditions carefully before using our LITT mobile application (“Service”).

Your access to and use of the Service is conditioned on your acceptance of and compliance with these Terms. These Terms apply to all Visitors, Users, Subscribers and others who access or use the Service.

By accessing and/or using the Service, you agree to be bound by these Terms. If you disagree with any part of the Terms, then you should not access and/or use the Service.

Subscriptions

Some parts of the Service are billed on a Subscription basis (“Subscriptions”). Users of the Service are billed in advance on a monthly, recurring basis (“Billing Cycle”).  

At the end of each Billing Cycle, your Subscription will automatically renew under the exact same Conditions unless you cancel it or Indy cancels it. You may cancel your Subscription renewal at any time, either through your online account management page or by contacting Indy’s customer support team.

A valid payment method, including credit card, is required to process the payment for your Subscription. You must provide Indy with accurate and complete billing information including full name, address, state, postal/zip code, and email address. By submitting such payment information, you are authorizing Indy to charge all Subscription fees incurred through your account.

Should automatic billing fail to occur for any reason, Indy will issue an electronic invoice indicating that you must proceed manually and within a fifteen (15) day deadline, with full payment corresponding to the billing period as indicated on the invoice.

Failure to make full payment within the seven day deadline will cause suspension of the account. Suspended accounts will only be reinstated by reaching out to Indy’s customer support team at customerservice@LITT-App.co and providing a valid credit card for future payments.

Free Trials

Indy may, at its sole discretion, offer a Subscription with a free trial for a limited period of time (“Free Trial”).

Subscribers may be required to enter their billing information in order to sign up for the Free Trial.

Anyone entering their billing information when signing up for the Free Trial will not be charged by LITT until the Free Trial has expired. Five days before the Free Trial expires, any Subscriber who has provided billing information will receive notification that their Free Trial is about to expire and be offered the following options:

• Do nothing and their monthly Subscription fee will be automatically charged on the last day of their free Subscription.
• Cancel their Subscription either through their online account management page or by contacting Indy’s customer support team.

In the event a Subscriber is not required to enter their billing information in order to sign up for the Free Trial, this Subscriber will be notified five days before the Free Trial expires that their Free Trial is about to expire and be offered the following options:

• Provide a valid payment method, including credit card, to process the payment for the ongoing Subscription. At this time, Subscriber must provide Indy with accurate and complete billing information including full name, address, state, postal/zip code, and email address. By submitting such payment information, Subscriber is authorizing Indy to charge all Subscription fees incurred through their account.
• Do nothing and their Subscription will automatically be suspended at the end of their Free Trial. 

In the event a Subscriber has their online account canceled and wishes to reinstate it, they should contact Indy’s customer support team at customerservice@LITT-App.co.

Fee Changes

Subscription fees are currently $11.99 per month and $99.00 for an annual subscription (US) or £11.99 per month and £99.00 (UK) for an annual Subscription, provided said Subscription fee is fully paid in advance. Indy, in its sole discretion and at any time, may modify these Subscription fees.

Indy will provide Subscribers with a reasonable prior notice of any changes in the Subscription fees to provide an opportunity for Subscribers to terminate their Subscription, if desired, before such change becomes effective.

Any Subscriber continuing to use the Service after the Subscription fee change comes into effect agrees to pay the modified Subscription fee moving forward.

Refunds

Subscription refund requests will be considered by Indy on a case-by-case basis, and are granted at the sole discretion of Indy Technology, Ltd.

Content

The LITT mobile application enables Subscribers to post, link, store, share and otherwise make available certain information, text, graphics, videos, or other material (“Content”). With the exception of any marketing content provided by Indy, all Content is input by Subscriber, and Subscriber alone is responsible for the Content posted to their account, including its legality, reliability, and appropriateness. All Content is backed up daily in Indy’s system, and remains there for 365 days after the last transaction on the account.

By posting Content to this Service, Subscriber grants Indy the right and license to use, modify, perform, display, reproduce and distribute such Content on and through the Service. Subscriber retains any and all right to any Content submitted, posted or displayed on or through the Service, and Subscriber alone is responsible for protecting those rights, including account privacy, content and passwords.

Subscriber represents and warrants that:

The content being input into their Account is their property; or

The Subscriber has the right to use the content being input into their account

The Subscriber grants to Indy the rights and license as provided for in these Terms, and both represents and warrants that, by the posting of Content on and through this Service, the Subscriber is not violating the privacy rights, publicity rights, copyrights, contract rights, or any other rights of any person, corporate or business entity in the United Kingdom, United States, or elsewhere.

Accounts

Any Subscriber creating an account using LITT’s mobile application agrees to provide Indy with profile information that is accurate, complete and current at all times. Failure to do so, or failure to keep said information current, may result in immediate termination of Subscriber’s account on this service.

Subscriber is responsible for safeguarding the password used to access the Service and for any activities or actions related to the Subscriber’s Account and/or password, regardless of whether this password is with the LITT mobile application or a third-party service.

Subscriber agrees to not disclose password to any third party. Should Subscriber become aware of any breach of security and/or unauthorized use of Subscriber’s LITT Account, Subscriber agrees it is their responsibility to notify Indy’s customer support team immediately of said breach or unauthorized use at customerservice@LITT-App.co.

Subscriber is hereby notified that it is unacceptable to use as a User Name the name of another person or entity or one that is not lawfully available for use, a name or trademark that is subject to any other person’s rights (without proper authorization), or a name that is otherwise offensive, vulgar or obscene.

Intellectual Property

The Service and its original content (excluding Content provided by users), features and functionality are and will remain the exclusive property of Indy Technology, Ltd. and its licensees. 

The Service is protected by copyright, trademark and other laws of both the United Kingdom, United States, and other foreign countries. Our trademarks and trade dress may not be used in connection with any product or service without the express prior written consent of Indy Technology, Ltd.

Links To Other Sites

Our Service may contain links to third-party web sites or services that are not owned or controlled by Indy Technology, Ltd.

Indy Technology, Ltd. has no control over, and assumes no responsibility for, the content, privacy policies, or practices of any third party web sites or services. Subscribers and Users acknowledge and agree that Indy Technology, Ltd. and their assigns shall not be responsible or liable, directly or indirectly, for any damage or loss caused or alleged to be caused by or in connection with use of or reliance on any such content, goods, or services available on or through any such web sites or services.

Indy Technology, Ltd. strongly recommends that any visitor or Subscriber using this site should read the Terms and Conditions and privacy policies of any third-party web sites or services.

Termination

Indy reserves the right to terminate or suspend any Subscriber’s account immediately, without prior notice or liability, and for any reason whatsoever, including (without limitation) if Terms of usage are breached.

Should an account be terminated, the Subscriber’s right to use the Service will immediately cease. In the event the account is terminated by Indy, the company will pro-rate and refund the current month’s payment (or, in the case of an annual subscription, the balance of the current contract), starting as of the following midnight GMT to the credit card on file.

Subscribers wishing to challenge a termination or suspension, or to terminate their account, may do so either through their online account management page or by contacting Indy’s customer support team at customerservice@LITT-App.co.

Limitation of Liability

In no event shall Indy Technology, Ltd., nor its directors, employees, subsidiaries, affiliates, partners, agents, suppliers, or licensees, be liable for any direct, indirect, incidental, special, consequential or punitive damages, including (without limitation) loss of profits, data, use, goodwill, or other intangible losses, resulting from (1) a Subscriber’s access to or use of or inability to access to use the Service; (2) any conduct or content of any third party on the Service; (3) any content obtained from the Service; or (4) authorized or unauthorized access, use or alteration of your transmissions or content, whether based on warranty, contract, tort (including negligence) or any other legal theory, whether or not we have been informed of the possibility of such damage, and even if a remedy set forth herein is found to have failed of its essential purpose. 

Disclaimer

Any visitor or Subscriber uses this site and Service at their sole risk. Both the Site and Service are presented and provided on an “AS IS” and “AS AVAILABLE” basis. The Service is provided without warranties of any kind, whether express or implied, including, but not limited to, implied warranties of merchantability, fitness for a particular purpose, non-infringement or course of performance.

Indy Technology, Ltd., its directors, employees, subsidiaries, affiliates, partners, agents, suppliers, and licensees do not warrant that a) the Service will function uninterrupted, secure or available at any particular time or location; b) any errors or defects will be corrected within any particular time frame; the Service is free of computer viruses or other harmful components; or d) the results of using the Service will meet your requirements.

Governing Law

These Terms shall be governed and construed in accordance with the laws of the United Kingdom, without regard to its conflict of law provisions. 

Should Indy Technology, Ltd. fail to enforce any right or provision of these Terms, it will not be considered a waiver of those rights. If any provision of these Terms is held to be invalid or unenforceable by a court of proper jurisdiction, the remaining provisions of these Terms will remain in effect. These Terms constitute the entire agreement between Indy Technology, Ltd. and any reader, visitor or Subscriber of LITT-App.co and/or its subsidiary websites, web pages, social media communications, or other communications made by or for Indy Technology and/or LITT-App.co, and will supersede and replace any prior agreements that might have previously existed between the parties regarding the Service.

Changes

Indy Technology, Ltd. reserves the right, at our sole discretion, to modify or replace these Terms and Conditions at any time. If a revision is material (as determined at our sole discretion), we will try to provide Subscribers at least 30 days notice prior to any new Terms taking effect. 

By continuing to access or use this Service after these rules or any revisions become effective, the user, visitor, or Subscriber agrees to be bound by the Terms effective on that date. Continued use of the LITT-App.co site indicates agreement with the Terms and any revisions in place on that date.
